By creating an account, accessing the VPN platform, or using any VPN services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.

2. Eligibility

VPN services are exclusively available to licensed healthcare practitioners. By enrolling, you represent and warrant that:

• You are a licensed healthcare practitioner in good standing
• You possess all necessary credentials and authorizations to practice medicine
• You are at least 18 years of age
• You have the authority to enter into this agreement
• All information provided during enrollment is accurate and complete

3. VPN Services Overview

Vitalgenics provides a community platform and business development network for healthcare practitioners. Our services include:

• Educational resources and training materials
• Community forums and peer networking
• Marketing tools and customizable websites
• Access to vetted vendor and product recommendations
• Lead distribution services (where available)
• Business development support and resources

4. Account Registration and Security

To access VPN services, you must create an account and provide accurate information. You agree to:

• Provide truthful, current, and complete information during registration
• Maintain and update your account information as needed
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

5. Subscription and Payment Terms

Subscription Plans: VPN offers monthly and annual subscription options as detailed on our pricing page.

Payment:

• All fees are charged in U.S. dollars
• Subscription fees are billed in advance on a recurring basis
• You authorize us to charge your payment method for all applicable fees
• Failed payments may result in service suspension
• Price changes will be communicated with 30 days' notice

6. Professional Responsibility and Medical Practice

You acknowledge and agree that:

• VPN does not provide medical advice or patient care services
• You are solely responsible for your clinical judgment and treatment decisions
• Educational materials are for informational purposes and do not replace professional judgment
• You must comply with all applicable laws, regulations, and professional standards
• You maintain all necessary licenses, certifications, and insurance for your practice
• Vitalgenics is not liable for any clinical outcomes or patient care decisions

7. Third-Party Products and Services

VPN may provide information about or facilitate access to third-party products, services, and vendors (including biologics suppliers). You understand that:

• Vitalgenics does not manufacture or sell biologics or medical products
• Third-party relationships are independent of VPN membership
• You are responsible for evaluating all third-party products and services
• Vitalgenics makes no warranties regarding third-party offerings
• All purchases from third parties are subject to their own terms and conditions
• Exclusive pricing and discounts are subject to third-party approval and availability

8. Intellectual Property Rights

VPN Content: All content, materials, and resources provided through VPN (including courses, protocols, marketing templates, and educational materials) are protected by copyright and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to:

• Access and use VPN materials for your own professional practice
• Customize provided marketing materials with your branding
• Download resources for personal use in accordance with these Terms

You may NOT:

• Reproduce, distribute, or sell VPN materials to third parties
• Remove copyright notices or proprietary markings
• Use VPN content to create competing products or services
• Share your account access with non-members

9. User-Generated Content and Community Guidelines

VPN includes community forums where members may share experiences and knowledge. By participating, you agree to:

• Maintain professional and respectful communication
• Not share protected health information (PHI) or patient-identifiable data
• Respect confidentiality of proprietary business information
• Not post defamatory, offensive, or illegal content
• Not engage in commercial solicitation without authorization

Vitalgenics reserves the right to remove content and suspend accounts that violate these guidelines.

10. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that any patient or business data you handle through your practice complies with HIPAA and other applicable privacy laws.

11. Disclaimers and Warranties

We do not warrant that:

• VPN services will be uninterrupted, error-free, or secure
• Results obtained from using VPN will meet your expectations
• Educational materials will result in specific business outcomes
• Third-party products or services will meet quality standards
• Lead generation services will produce specific results

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITALGENICS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your access to or use of (or inability to access or use) VPN services
• Any conduct or content of third parties on VPN platforms
• Medical or clinical decisions made using VPN resources
• Third-party products, services, or vendor relationships
• Unauthorized access to or alteration of your account or content

IN NO EVENT SHALL VITALGENICS' TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO VITALGENICS IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vitalgenics and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of VPN services
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your medical practice and patient care decisions
• Any content you submit or share through VPN
• Your relationships with third-party vendors or suppliers

14. Termination

Either party may terminate this agreement at any time:

• You may cancel: By following the cancellation process outlined in our Return Policy
• We may suspend or terminate: Your access immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion

Upon termination:

• Your access to VPN services will cease
• You must stop using all VPN materials and resources
• Provisions regarding intellectual property, liability, and indemnification survive termination

15. Regulatory Compliance

You are solely responsible for ensuring your regenerative medicine practice complies with all applicable laws and regulations, including but not limited to:

• FDA regulations governing biologics and medical devices
• State medical practice acts and licensing requirements
• HIPAA and other patient privacy laws
• FTC regulations regarding advertising and marketing claims
• Professional standards and codes of ethics

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active members at least 30 days before taking effect. Your continued use of VPN services after changes become effective constitutes acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [STATE], without regard to conflict of law principles. Any disputes shall be resolved through:

18. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and Return Policy, constitute the entire agreement between you and Vitalgenics.

Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
